1. Acceptance of Terms

By accessing or using getorzen.com or any Orzen service (collectively, the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Service. These Terms apply to all visitors, users, and customers.

2. Description of Service

Orzen is an AI-powered voice communication platform operated by Orzen Technologies LLC. The Service enables businesses to deploy AI voice agents for inbound call handling, outbound calling campaigns, lead qualification, appointment scheduling, restaurant order taking, and related communications. The AI agents interact with callers using synthesised voice technology on behalf of Customer accounts.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@getorzen.com of any suspected unauthorised access. You agree to provide accurate, current, and complete information when creating and maintaining your account.

4. Acceptable Use & Compliance

• You must obtain all necessary consents from individuals before using Orzen to contact them via phone or message.
• You must comply with all applicable telecommunications laws including, but not limited to, the Telephone Consumer Protection Act (TCPA), the UK Privacy and Electronic Communications Regulations (PECR), and equivalent regulations in your jurisdiction.
• You must not use the Service to transmit spam, unsolicited communications, or calls to individuals who have opted out or registered on Do-Not-Call lists.
• You must not use the Service to impersonate any person or entity, engage in deceptive practices, or make false representations to callers.
• You must not use the Service for any unlawful purpose, to harass individuals, or to violate any applicable law or regulation.
• You are solely responsible for the content, accuracy, and legality of scripts, prompts, and knowledge base materials you configure within the platform.

5. Consent & Communications Disclosure

When Orzen AI agents contact individuals on your behalf, you as the Customer are responsible for ensuring that those individuals have provided the legally required consent to receive such communications. Orzen provides configurable disclosure language and compliance tools to assist you, but final compliance responsibility rests with the Customer account operating the calls.

6. Payment & Billing

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as expressly stated in our refund policy. We reserve the right to modify pricing with at least 30 days written notice. Failure to pay may result in service suspension. All prices are listed in USD unless otherwise stated.

7. Call Recording & Data

The Service may record calls handled by AI agents for quality assurance, lead capture, transcription, and analytics purposes. By using the Service, you acknowledge that calls may be recorded and agree to disclose this to callers as required by applicable law. Call recordings and transcripts are retained for up to 12 months and are accessible within your Customer account.

8. Intellectual Property

All content, software, AI models, voice synthesis systems, trademarks, and technology associated with the Orzen platform remain the exclusive property of Orzen Technologies LLC and its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your authorised business purposes only. You may not resell, sublicense, reverse-engineer, or copy any part of the Service without our written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Orzen Technologies LLC shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from your use of or inability to use the Service, including but not limited to lost revenue, missed calls, or data loss. Our total aggregate liability for any claim shall not exceed the amount you paid us in the three months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Orzen Technologies LLC and its officers, employees, and agents from and against any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

11. Service Availability

We aim to maintain high availability of the Service, but do not guarantee uninterrupted or error-free operation. Scheduled and emergency maintenance windows may occur. We will make reasonable efforts to provide advance notice of planned downtime.

12. Termination

You may cancel your account at any time from your dashboard. We reserve the right to suspend or terminate your access for violation of these Terms, non-payment, or conduct that we reasonably determine is harmful to the Service, other users, or third parties. Upon termination, your access to the Service and associated data will cease in accordance with our data retention policy.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising under or related to these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in the applicable state.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service dashboard. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
